New City Dev calls 30 June 2026 AGM to approve 10% buy-back, 20% issue mandates, six director re-elections and auditor re-appointment

New City Development Group Limited (“New City Dev”, 00456) has issued a circular convening its 2026 annual general meeting (AGM) for 30 June 2026 at 11:30 a.m. in Hong Kong.

Key resolutions to be put to shareholders:

1. Share mandates • Repurchase mandate: authorisation to buy back up to 10% of issued share capital, equivalent to 21.42 million shares, based on the 214.23 million shares outstanding as at 27 May 2026. • Issue mandate: authority to allot and issue up to 20% of issued shares, or 42.85 million new shares. • Extension mandate: authority to extend the issue mandate by adding the number of shares actually repurchased under the repurchase mandate.

2. Board composition Six current directors—executives Luo Min and Luo Zhen, and independent non-executives Dr Ouyang Qingru, Wong Pak Wing, Lam Chi Cheung Albert and Wong Kan Wai—will retire by rotation and stand for re-election. The nomination committee supports their re-election, citing continued contribution and confirmed independence of non-executive members.

3. Auditor McMillan Woods (Hong Kong) CPA Limited is nominated for re-appointment as auditor for the coming year. The audit committee judged the firm independent and competent, agreeing an estimated fee of HK$1.00 million for the FY 2025 audit.

Logistics The proxy deadline is 11:30 a.m. on 28 June 2026. The register of members will be closed from 25 June to 30 June 2026 (both days inclusive) for AGM eligibility.
