广东香山衡器集团股份有限公司（002870.SZ）近日发布公告，宣布计划通过发行股份及支付现金的方式，收购宁波亘曦、浙江秦桐、智焱芯合、温州群宏、瑞晟智能及王凌等交易对方合计持有的浙江武珞智慧城市技术有限公司100%股权，同时募集配套资金。此次交易的总对价暂定为8亿元人民币，公司股票将于2026年9月15日开市起恢复交易。
本次交易完成后，该公司将在原有汽车零部件业务基础上，新增AI算力设备业务，从而打造“汽车零部件+AI算力”双轮驱动的业务格局。这一举措将显著拓展公司在人工智能算力领域的业务版图。
此外，公司计划进一步发挥其在精密制造、质量管理体系以及规模化供应链方面的既有优势，推动标的公司主要产品的量产交付与成本优化。这将有助于标的公司的核心产品和技术在新能源汽车、充配电及储能业务等下游应用场景实现横向拓展，进而丰富上市公司的业务结构，培育新的业绩增长点。
