ArtGo Holdings Limited has issued a notice convening an extraordinary general meeting (EGM) on 29 June 2026 at 11:00 a.m. at Units 5906–12, 59/F., The Center, 99 Queen’s Road Central, Hong Kong. Shareholders will vote by poll on a single ordinary resolution that centres on a significant capital reorganisation.
Key proposal: 10-for-1 Share Consolidation • Every ten issued and unissued ordinary shares of HK$0.01 par value will be consolidated into one ordinary share of HK$0.10 par value. • The move is conditional on the Listing Committee of The Stock Exchange of Hong Kong Limited granting approval for listing and dealing in the consolidated shares. • Subject to approval, the consolidation will take effect on the later of (a) the date of Stock Exchange approval and (b) the second business day after the resolution is passed, provided that day is a trading day.
Fractional Shares and Capital Structure • Fractional consolidated shares will be disregarded; they will be aggregated and, if practicable, sold for the Company’s benefit. • Post-consolidation, authorised share capital will remain HK$300.00 million but will be re-denominated from 30.00 billion shares at HK$0.01 each to 3.00 billion shares at HK$0.10 each.
Shareholder Logistics • The register of members will be closed from 24 June 2026 to 29 June 2026 (both days inclusive). Transfers must be lodged with Computershare Hong Kong Investor Services Limited by 4:30 p.m. on 23 June 2026 to qualify for attendance and voting. • Shareholders may appoint proxies; completed proxy forms must reach Computershare Hong Kong Investor Services Limited no later than 48 hours before the meeting.

The notice stipulates that if a black rainstorm warning, tropical cyclone signal No. 8 or above, or “extreme conditions” are in force after 7:00 a.m. on the meeting date, the EGM will be postponed and rescheduled details will be announced on the Company’s and HKEX’s websites.
