Riverine China Holdings Limited issued a clarification on 2 September 2026 after the Securities and Futures Commission (SFC) highlighted an exceptionally high concentration of its shareholding as at 14 August 2026.

The SFC enquiry found that two substantial shareholders—Yomi.sun Holding Limited (222.90 million shares, 55.04%) and Lucky Yang Limited (77.28 million shares, 19.08%)—combined with a group of 20 other investors (62.42 million shares, 15.41%) and 11.70 million shares outside CCASS, collectively controlled 92.42% of Riverine China’s 405 million issued shares. Consequently, only 30.70 million shares, or 7.58% of the total, were in the hands of other investors.

The company’s share price rose from HK$0.20 on 12 May 2026 to HK$8.23 on 14 August 2026, a 4,015% increase. It later closed at HK$7.48 on 31 August 2026, still 3,640% above the 12 May level.

Riverine China’s board confirmed that, to the best of its knowledge, not less than 25% of issued shares remained in public hands on both 14 August 2026 and the date of the announcement, satisfying Hong Kong listing rules on minimum public float.

Given the limited free float and the potential for significant price swings on low trading volumes, the board reiterated the SFC’s caution that shareholders and prospective investors should exercise extreme vigilance when dealing in the company’s shares. Riverine China will conduct further investigations into the shareholding structure and release additional information once available.
