CHANGYOU INT GP’s July Update: No Changes in Share Capital; Convertible Bonds Could Add Up to 300 Million Shares

Changyou International Group Limited released its Monthly Return for the period ended 31 July 2026, confirming that headline share capital metrics remained unchanged during the month.

Authorised and Issued Share Capital • Authorised capital stood at 5.00 billion ordinary shares with a par value of USD 0.01, equivalent to USD 50.00 million. • Issued shares were unchanged at 1.81 billion, while treasury shares remained at zero, leaving total issued shares at the same level as at end-June 2026.

Public Float The company reconfirmed compliance with the Main Board’s minimum 25 per cent public-float requirement as of 31 July 2026.

Equity Incentive Capacity • The 3 June 2020 Share Option Scheme had no outstanding or newly issued options in July. • The scheme still authorises the future issuance of up to 181.10 million shares, equivalent to 10 per cent of current issued share capital.

Convertible Instruments • HKD 126.00 million 8 per cent unsecured convertible bonds maturing on 23 April 2027 remained fully outstanding. • At the fixed conversion price of HKD 0.42 per share, these bonds could be converted into up to 300.00 million new ordinary shares. • No conversions or treasury-share transfers were recorded during the month.

Other Capital Movements The company reported no warrants, no other share-issuing agreements, and no Hong Kong Depositary Receipts. Total increases or decreases in both issued and treasury shares for July were zero.

Regulatory Compliance The filing, signed by Company Secretary Chan Chi Keung, Billy, confirms that all regulatory and corporate governance requirements under Hong Kong Listing Rules were met during the reporting period.
