CHINA OVERSEAS Receives HKEX Green Light and Assured-Entitlement Waiver for Planned Spin-Off

On 11 September 2026, China Overseas Land & Investment Limited (CHINA OVERSEAS) announced that Hong Kong Exchanges and Clearing Limited (HKEX) has approved the company’s proposed spin-off under Practice Note 15 (PN15) and granted a waiver from the assured entitlement requirement set out in paragraph 3(f) of PN15.

The spin-off plan, first disclosed on 7 September 2026, involves listing a “Public Fund” subsidiary on the Shenzhen Stock Exchange. CHINA OVERSEAS had requested the waiver after securing a legal opinion confirming that People’s Republic of China regulations restrict the provision of assured entitlements to existing shareholders. The board has formally declared that both the spin-off and the waiver are fair, reasonable and in the best interests of the company and its shareholders.

Completion of the transaction remains contingent on prevailing market conditions as well as review and/or registration by the China Securities Regulatory Commission and the Shenzhen bourse. The company cautions investors that there is no certainty the spin-off or the related public offering will proceed, or on its timeline.

Chairman and Executive Director Yan Jianguo signed the announcement on behalf of the board. The current board comprises three Executive Directors, two Non-executive Directors and three Independent Non-executive Directors.
