Maanshan Iron & Steel Company Limited will convene its first extraordinary general meeting of 2026 on 29 September at the Magang Office Building in Maanshan, Anhui. Shareholders will vote on two core items:
• Director remuneration for the eleventh Board term. – Independent non-executive directors’ annual allowance is proposed to rise to RMB0.18 million (tax-inclusive) to reflect their expanded oversight duties since the Group abolished its board of supervisors in December 2025. – Executive director Jiang Yuxiang, who holds no management post beyond his chairmanship, will not receive remuneration or allowances from the Company. – Senior management member Fu Ming’s compensation will follow the approved 2026 senior management remuneration plan; no separate director’s allowance is proposed. – The employee director will continue to be remunerated under existing internal employee performance measures, without a separate director’s allowance.
• Election of the eleventh Board (three-year term). – Non-independent, non-executive director nominees: Chairman Jiang Yuxiang and General Manager Fu Ming. – Independent non-executive director nominees: Guan Bingchun, He Anrui, Qiu Shengtao and Zeng Xiangfei. All four have confirmed independence per Hong Kong Listing Rules and do not hold more than three listed-company directorships.
If elected, the six directors—together with the employee representative director to be selected separately—will constitute the Company’s eleventh Board. Cumulative voting will apply to the election of both non-independent and independent non-executive directors, while the remuneration plan will be decided by ordinary resolution.
Shareholders of H shares must be on record by 22 September 2026 to vote, with proxy forms due 24 hours before the meeting. The register of members for H shares will be closed from 23–29 September 2026.
