Sino Splendid: AGM to Vote on Share Mandates, New Option Scheme and Board Changes

Sino Splendid Holdings (Stock Code: 08006) has issued a circular convening its Annual General Meeting for 30 June 2026. Key resolutions and data points are as follows:

• Board Composition – Shareholders will vote on the re-election of Executive Director Yu Tat Chi and Independent Non-Executive Directors Yeung Man San and Chow Yee Ting.

• Auditor – Wilson & Partners CPA Limited is proposed for re-appointment. The audit fee for FY 2026 is estimated at HK$0.40–0.50 million.

• Share Capital – As of the latest practicable date, the company has 368.85 million shares outstanding.

• Issue Mandate – Directors seek authority to issue up to 20% of share capital, equivalent to 73.77 million new shares.

• Repurchase Mandate – A parallel request would allow buy-backs of up to 10% of shares, or 36.89 million shares. An extension mandate would add any repurchased shares back to the issuance limit.

• New Share Option Scheme –  – Scheme limit: 10% of issued shares (36.89 million shares).  – Service provider sub-limit: 2% of issued shares.  – Option life: up to 10 years with a minimum 12-month vesting period, except for specific employee situations.  – Subscription price: the higher of (i) the closing price on the offer date, (ii) the five-day average closing price, or (iii) the par value.

• Key Dates – Share register closes 24–30 June 2026. Forms of proxy must be lodged 48 hours before the meeting.
