G-Vision International (Holdings) Keeps Share Base Unchanged; 24.00 Million Options Lapse in October 2025

Bulletin Express
Jun 11

G-Vision International (Holdings) Limited released a resubmitted monthly return to Hong Kong Exchanges and Clearing Limited on 11 June 2026, covering movements in its securities for the month ended 31 October 2025. Key disclosures are as follows:

• Authorised share capital remained at 5.00 billion ordinary shares with a par value of HKD 0.10 each, equivalent to HKD 500.00 million. No increase or decrease was recorded during the month.

• Issued share capital stood unchanged at 1.95 billion ordinary shares. The company held no treasury shares.

• Public-float compliance was confirmed: at least 25% of the issued share class remained in public hands, meeting Main Board Rule 13.32B requirements.

• All 24.00 million outstanding share options under the scheme approved on 10 May 2010 lapsed during the month. No new shares were issued and no treasury shares were transferred as a result of option exercises. Consequently, the scheme’s outstanding options balance fell to zero, eliminating potential dilution from this source.

• The return reported no activity in warrants, convertible securities, other share-based agreements, or treasury-share movements.

Overall, G-Vision International (Holdings) recorded a stable capital structure in October 2025, with unchanged issued shares and full compliance with Hong Kong listing rules on public float, while the lapse of legacy share options reduced the company’s overhang of dilutive instruments.
