ZyloxTB Records 0.01% Net Decrease in Issued H Shares; Public Float Remains Compliant as of August 2026

Zylox-Tonbridge Medical Technology Co., Ltd. (ZyloxTB; HKEX: 02190) submitted its monthly return for the period ended 31 August 2026, detailing modest share-capital movements and confirming adherence to Hong Kong Main Board public-float rules.

Total authorised share capital stayed unchanged at 344.13 million ordinary shares with a par value of RMB 1 each.

Issued H shares (excluding treasury) fell by 16,500 to 323.41 million, while treasury H shares rose by the same amount to 12.94 million. Consequently, the aggregate issued share count remained flat at 336.35 million. The month’s net decrease represents roughly 0.01% of issued H shares.

Key drivers included: • Repurchase of 266,500 H shares on 13 May 2026, now held in treasury. • Issuance of 250,000 new H shares under the Share Award Scheme adopted on 19 December 2024, with an equal number of treasury shares re-allocated to participants.

No shares were issued under the 2025 Share Incentive Scheme during August; 17.42 million options remain outstanding. Domestic shares were unchanged at 7.78 million.

ZyloxTB affirmed that the minimum 25% public-float threshold was maintained throughout the month in line with Main Board Rule 13.32D.
