Hong Kong, 11 September 2026 – Lisi Group (Holdings) Limited announced a board reshuffle that restores full compliance with Hong Kong Stock Exchange (HKEX) requirements for independent non-executive directors (INEDs).

Effective 11 September 2026, Ms. Chen Wei resigned as INED, Audit Committee chair and member of both the Remuneration and Nomination Committees to focus on personal commitments. She confirmed no disagreements with the Board and no other matters requiring shareholder attention.

To fill the vacancy, the Board appointed Mr. Kong Linghua, 49, as INED, chair of the Audit Committee and member of the Remuneration and Nomination Committees. A certified public accountant and tax agent in mainland China with more than 20 years of experience, Mr. Kong has been a partner at Pengsheng Certified Public Accountants since May 2020. His three-year service agreement provides annual remuneration of HK$0.24 million, subject to periodic review. He meets all independence criteria under Listing Rule 3.13.

Following the earlier resignation of INED Mr. Kwong Kwan Tong on 12 March 2026, Lisi Group sought and obtained an HKEX waiver extending the three-month deadline under Listing Rules 3.10(2) and 3.11 to 11 September 2026. With Mr. Kong’s appointment, the company has now re-complied with the exchange’s INED and Audit Committee composition requirements.

The reconstituted Board now comprises three executive directors—Mr. Xu Jinbo (Chairman), Mr. Wang Yong and Mr. Wang Bo—and three independent non-executive directors—Ms. Ke Yue, Mr. Jiang Yuexiang and Mr. Kong Linghua.
