Venus Medtech (Hangzhou) Inc. will convene an extraordinary general meeting (EGM) on 30 September 2026 to seek shareholder approval for the proposed subscription of new shares and new convertible bonds under a specific mandate.
To determine eligibility to attend and vote at the EGM, the company will close its H-share register of members from 25 September to 30 September 2026, both dates inclusive. Holders of H shares must lodge share certificates and transfer documents with Computershare Hong Kong Investor Services Limited by 16:30 on 24 September 2026. Holders of unlisted foreign shares are required to complete similar formalities at the company’s Hangzhou office by the same deadline. Shareholders recorded on the register as of 30 September 2026 will be entitled to participate in the meeting.
A circular detailing the resolutions, together with the EGM notice and proxy form, will be distributed to shareholders and posted on HKEXnews in accordance with the company’s articles of association, applicable laws and Hong Kong listing rules.
The board currently comprises Executive Directors Lim Hou-Sen (Lin Haosheng) and Meirong Liu; Non-executive Directors Ao Zhang and Wei Wang; and Independent Non-executive Directors Ting Yuk Anthony Wu, Chi Wai Suen and John Junhua Gu.
