Central China Real Estate Sets 10 June 2026 AGM; Targets 10% Buyback Mandate and 20% Issuance Capacity

Central China Real Estate has released its 2026 AGM circular outlining three key proposals: renewal of share repurchase and issuance mandates and re-election of directors.

• Share Repurchase Mandate: Directors seek authority to buy back up to 303.91 million shares, representing 10% of the company’s 3,039.13 million issued shares (excluding treasury stock) as of 20 April 2026.

• Share Issuance Mandate: Management also requests approval to allot, issue, sell or transfer out of treasury up to 607.83 million shares, equivalent to 20% of issued capital. The mandate can be enlarged by the number of shares actually repurchased.

• Director Re-election: Independent non-executive directors Cheung Shek Lun, Xin Luo Lin and Sun Yuyang—each eligible for re-appointment—will stand for separate votes. Cheung and Xin have each served more than nine years yet continue to meet Hong Kong independence criteria.

• Ownership Impact: Chairman Wu Po Sum, through wholly owned Joy Bright Investments, controls 1,272.73 million shares, or 41.88% of the company. Full exercise of the buyback authority would lift this stake to 46.53%, still above the public float threshold and below the mandatory offer trigger.

The AGM is scheduled for 3:00 p.m. on 10 June 2026 at Harbour City, Tsim Sha Tsui, Hong Kong. Shareholders must lodge transfer paperwork by 4:30 p.m. on 4 June 2026; the register will close from 5 to 10 June. Proxy forms are due 48 hours before the meeting.

Auditor SHINEWING (HK) CPA Limited is nominated for re-appointment, and director remuneration will be set by the board. All resolutions will be decided by poll.
