TUHU Car Executes HK$6.24 Million Buyback; Cumulative Repurchases Reach 16.05 Million Shares Under Current Mandate

TUHU Car Inc. disclosed that it repurchased 504,100 Class A weighted-voting-rights ordinary shares on 11 September 2026 via on-market transactions at prices between HK$12.23 and HK$12.70 per share, for a total consideration of HK$6.24 million. The volume-weighted average price for the day was approximately HK$12.38.

Including this latest purchase, the company has bought back 10.86 million shares between 24 August and 11 September 2026, equivalent to roughly 1.32 % of its 823.35 million total issued shares (comprising 755.86 million Class A and 67.49 million Class B shares) as of 10 September 2026. All repurchased shares remain outstanding pending formal cancellation and therefore do not yet reduce the reported share capital.

Since shareholders granted a repurchase mandate on 5 June 2026 authorising the purchase of up to 82.77 million shares, TUHU Car has acquired 16.05 million shares, utilising 19.39 % of the mandate capacity. No treasury shares were held post-transaction, and all repurchased shares are designated for cancellation.

The company confirmed that the transactions complied with Hong Kong Stock Exchange Main Board Rule 10.06 and related regulatory requirements. In line with listing rules, TUHU Car is subject to a moratorium on issuing, selling, or transferring shares until 11 October 2026.
