New City Development Group Limited reported a comprehensive board restructuring effective 17 April 2026.

Two independent non-executive directors (INEDs), Mr. Leung Kwai Wah, Alex and Mr. Chan Yiu Tung, Anthony, resigned to focus on other business commitments. Their departures also vacated the roles of Audit Committee chairman (Mr. Leung), Remuneration Committee chairman (Mr. Chan), and memberships across the Audit, Remuneration and Nomination Committees.

The Board filled the vacancies by appointing: • Mr. Wong Pak Wing, age 36, returning as INED after previously serving the company (Aug 2019–Jun 2023). His annual director’s fee is HK$0.24 million, and he will sit on the Audit, Remuneration and Nomination Committees. • Mr. Lam Chi Cheung Albert, age 49, named INED and designated Chairman of the Remuneration Committee while joining the Audit and Nomination Committees. His annual director’s fee is HK$0.24 million.

In addition, Mr. Luo Zhen, age 74, was re-designated from INED to executive director. His new three-year term carries an annual director’s fee of HK$0.72 million.

Committee leadership was further adjusted: Mr. Zhang Jing, age 70, assumed the role of Audit Committee chairman, satisfying Hong Kong Listing Rule 3.10(2) with more than 30 years of accounting and corporate-management experience.

Post-changes, the Board comprises three executive directors—Mr. Han Junran (Chairman), Mr. Luo Min and Mr. Luo Zhen—and four INEDs—Dr. Ouyang Qingru, Mr. Zhang Jing, Mr. Wong Pak Wing and Mr. Lam Chi Cheung Albert.

All newly appointed or re-designated directors have confirmed independence (where applicable), absence of shareholdings under Part XV of the Securities and Futures Ordinance, and no further information requiring disclosure under Listing Rules 13.51(2)(h)–(v).
