Changyou Int'l Group Calls 29 May 2026 AGM, Seeks 20% Issuance Mandate and 10% Share Buy-back Authority

The Board of Changyou International Group Limited has convened its annual general meeting for 11:00 a.m. on 29 May 2026 at Unit 405-414, Level 4, Core E, Cyberport 3, Hong Kong.

Key resolutions to be tabled:

1. Financial Statements • Shareholders will be asked to receive and adopt the audited consolidated financial statements for the year ended 31 December 2025, together with the directors’ and auditors’ reports.

2. Board Composition • Re-election of Mr. Cheng Jerome as executive director, Ms. Hu Qing as non-executive director, and Mr. Wong Chi Keung—who has served for more than nine years—as independent non-executive director. • Approval for the Board to determine directors’ remuneration.

3. Auditor Appointment • Proposal to re-appoint BDO as external auditor and authorise the Board to fix its remuneration.

4. General Mandates • Issuance Mandate: Authority for directors to allot, issue or deal with additional shares up to 20% of the company’s issued share capital, exclusive of rights issues, scrip dividends and share-option exercises. • Repurchase Mandate: Authority to buy back shares on-market up to 10% of issued share capital. • Extension Mandate: The issuance limit may be increased by the aggregate number of shares repurchased under the buy-back mandate, capped at an additional 10%.

5. Administrative Dates • Register of members will be closed from 26 May 2026 to 29 May 2026 (both dates inclusive). Share transfers for AGM eligibility must be lodged by 4:30 p.m. on 22 May 2026. • Proxy forms must be delivered to Computershare Hong Kong Investor Services Limited by 11:00 a.m. on 27 May 2026.

As of the notice date (29 April 2026), the Board comprises two executive directors, two non-executive directors and three independent non-executive directors.
