ArtGo Announces 10-for-1 Share Consolidation and Board Lot Adjustment; EGM Slated for 29 June 2026

ArtGo Holdings Limited has issued a circular detailing a proposed 10-for-1 share consolidation and a concurrent change in board lot size from 10,000 existing shares to 5,000 consolidated shares. Based on the latest closing price of HK$0.086 per existing share (equivalent to HK$0.86 per consolidated share), the theoretical value per new board lot will rise to HK$4,300, surpassing the HK$2,000 threshold cited by Hong Kong Exchanges and Clearing Limited for efficient trading.

Rationale The share price has traded below HK$0.10 since 18 May 2026, falling within the “extremity” range defined in Listing Rule 13.64. The board believes the consolidation will (1) lift the trading price per share, (2) reduce proportional transaction costs for investors, and (3) align the board lot value with market guidelines. The reduced lot size is intended to maintain accessibility for smaller investors and support liquidity.

A designated broker, Orient Securities Limited, will provide matching services for odd lots between 16 July 2026 and 5 August 2026, although successful matching is not guaranteed.

Conditions The consolidation and board lot change require: 1. Shareholder approval at the EGM. 2. Compliance with Cayman Islands and Hong Kong legal and regulatory requirements. 3. Listing Committee approval for the consolidated shares to trade on the Stock Exchange.

Corporate Outlook The board states there is no current plan for additional corporate actions that would negate the purpose of the consolidation, nor any concrete fundraising initiatives within the next 12 months, although potential debt or equity options may be explored to meet operational needs.
