XinXiang Era Group Company Limited reported that every item on the agenda of its Annual General Meeting (AGM) held on 28 May 2026 was approved by poll with full shareholder support.
• Voting outcome A total of 108.73 million shares—representing 75.02% of the 144.97 million shares in issue—were voted on each resolution. Every resolution received 100% “For” votes and zero “Against” votes.
• Board composition confirmed Shareholders re-elected executive director Ms Wan Suet Yee Cherry, and independent non-executive directors Ms Mao Xiaobi and Ms Ma Lina. The Board, comprising seven directors, remains unchanged.
• Auditor re-appointment BDO Limited was re-appointed as external auditor for the forthcoming year; the Board is authorised to determine its remuneration.
• Share issuance and repurchase authorities 1. General mandate to allot, issue or transfer treasury shares of up to 20% of issued share capital (excluding treasury shares) was renewed. 2. Authority to repurchase up to 10% of issued shares (excluding treasury shares) was granted. 3. An extension mandate allows the Board to add repurchased shares to the issuance mandate.
• Governance documentation updated A special resolution (requiring ≥75% support) approved amendments to the memorandum and articles of association, adopting a second amended and restated version with immediate effect.
• Administrative details No shareholders were required to abstain, and no special conditions or voting restrictions applied. Tricor Investor Services Limited acted as scrutineer. All directors attended, either in person or electronically.
The unanimous backing consolidates XinXiang Era’s corporate governance framework and provides the Board with flexibility for capital management in the year ahead.
